By accessing or using SYSTEMBIONIC's website, Xified application, Ortix browser, or any other services we provide (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you may not access or use our Services.
SYSTEMBIONIC provides privacy-first software products, including a personal management system called Xified and the Ortix browser for macOS. These products may include features such as a unified dashboard, journal, habit builder, finance manager, magnetic ideas visualizer, local AI capabilities, and other functionality described on our website. Our Services may also include beta access programs, enterprise solutions, and future products described on our website.
SYSTEMBIONIC, LLC is a limited liability company organized under the laws of the State of Delaware, United States. Our registered office is located at 262 Chapman Rd, Ste 240, Newark, DE 19702, USA. Our registered agent in charge thereof is REPUBLIC REGISTERED AGENT LLC.
To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. Notify us immediately of any unauthorized use.
Your privacy matters to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using our Services, you consent to the data practices described there.
All content, features, and functionality of our Services—including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software—are the exclusive property of SYSTEMBIONIC or its licensors and are protected by intellectual property laws.
You retain ownership of any content you submit, post, or display through our Services. By submitting content, you grant SYSTEMBIONIC a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute that content in connection with providing the Services.
You agree not to use our Services for unlawful purposes or in ways that could damage, disable, overburden, or impair them. You also agree not to attempt to gain unauthorized access to any part of our Services, other accounts, or computer systems.
We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services ceases.
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
SystemBionic is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or in connection with these Terms or your use of the Services.
Ortix browser is offered as a subscription service with device-based authentication. There are no license keys or manual activation codes—your subscription is automatically linked to your device through a secure hardware-based identifier.
Polar.sh Payment Processing: All payment transactions, subscription management, and billing for Ortix are processed through Polar.sh, a third-party payment platform. We do not directly collect or store your payment card information, billing address, or other sensitive payment details. By purchasing or subscribing to Ortix, you agree to Polar.sh's terms of service and privacy policy. For more information, visit polar.sh.
Device-Based Authentication: When you subscribe to Ortix, your subscription is linked to your device using a hardware-based device identifier derived from your Mac's hardware UUID and serial number. This device identifier is generated locally on your device and used to verify your subscription status with Polar.sh. No manual license activation is required—Ortix automatically verifies your subscription when you launch the app.
Device Limits: Each Ortix subscription permits use on a limited number of devices as specified at the time of purchase. Device authorization is managed automatically through Polar.sh's Customer State API. You can manage your devices and subscription through the Ortix customer portal accessible within the app.
Subscription Verification: Ortix periodically connects to Polar.sh to verify your subscription status. This verification sends your device identifier, platform information (macOS), and app version to Polar.sh's API. This is necessary to validate your subscription and provide access to Ortix features. These checks do not monitor your browsing activity or collect personal browsing data.
Trials and Refunds: Free trials may be available for new subscribers. Trial eligibility is determined per device. Refund policies for Ortix subscriptions are subject to Polar.sh's refund terms. We reserve the right, in coordination with Polar.sh, to refuse, limit, or terminate access where we reasonably believe there is misuse, fraud, or a violation of these Terms.
Software Updates: Ortix may periodically check for updates by contacting our servers and sending minimal technical information (such as current version, build number, platform, and operating system version). These update checks are separate from subscription verification and are used solely to determine whether an update is available.
Your use of Ortix is subject to any additional terms presented in the Ortix app or purchase flow. If there is a conflict between these Terms and Polar.sh's terms, Polar.sh's terms will govern payment and subscription matters, while these Terms govern your use of the Ortix browser software.
Xified offers a Premium subscription tier that provides enhanced features, including unlimited journal voice transcription, advanced AI-powered receipt scanning for finance tracking, unlimited ideas canvas storage, comprehensive behavioral pattern analysis, unlimited habits and reminders, smart priority management for todos, and other premium features as described in the app.
Subscription Details:
Managing Your Subscription: You can manage and cancel your subscription through your Apple ID account settings. To cancel, go to Settings > [Your Name] > Subscriptions on your iOS device, or Account Settings on your Mac. Canceling your subscription will stop future charges, but you will retain access to Premium features until the end of your current billing period.
Refunds: Subscriptions purchased through Apple's App Store are subject to Apple's refund policies. Generally, charges are non-refundable except as required by applicable law. To request a refund, contact Apple Support directly or visit reportaproblem.apple.com.
Free Trial Terms: If you start a free trial, you will not be charged during the trial period. If you do not cancel before the trial ends, you will automatically be charged the subscription price for the first billing period. You may cancel your trial at any time before it ends to avoid charges.
Xified Premium subscriptions are processed through Apple's App Store and are subject to Apple's Terms of Service. For more information about how Apple handles your subscription data, please review Apple's Privacy Policy and App Store Terms.
We may offer you the ability to support our work through voluntary monetary contributions, including donations made via our Donate page or other payment interfaces ("Donations"). Donations are processed by third-party payment processors such as Stripe, and you may be required to agree to their terms and privacy policies in addition to ours.
Unless we expressly state otherwise in writing, Donations are non-refundable, to the maximum extent permitted by applicable law. Donations do not grant you any equity, ownership interest, voting rights, or right to share in our profits, nor do they create an employment, partnership, or joint venture relationship between you and SystemBionic.
SystemBionic, LLC is not a registered charity or tax-exempt organization. As a result, Donations to SystemBionic are generally not tax-deductible charitable contributions. The tax treatment of any payment you make depends on your personal circumstances and local law, and you are responsible for your own tax reporting and obligations.
We may modify these Terms at any time. Significant changes will be posted on our website, and your continued use of the Services after changes are made constitutes acceptance of the updated Terms.
These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-law rules. Where permitted by applicable law, you agree that the exclusive jurisdiction for any dispute between you and SystemBionic arising out of or relating to these Terms or the Services will be the state and federal courts located in Delaware, USA.
We recognize that you may access the Services from jurisdictions around the world and that different laws may apply. Nothing in these Terms limits any non-waivable rights you may have under the laws of your place of residence.
